Professional Experience

In his real estate-related work, Don Lloyd:

  • Prepares docu­mentation for asset-based lending, real estate mortgage financing, and closings.
  • Prepares development and construction agreements between owners, project managers, contractors, and subcontractors.
  • Negotiates work­outs and foreclosures on security documents.
  • Organizes entities for real estate investments.
  • Handles the negotiation and documentation for real estate acquisitions, financing, and dispositions.
  • Works on Section 1031 tax-deferred exchanges.
  • Represents landlords and tenants in commercial lease transactions and the resolution of landlord-tenant disputes.
  • Works with developers of condominium projects, industrial projects, and residential subdivisions on the creation of covenants, conditions, and restrictions; owner association documents; reciprocal easement agreements; and title matters.

For his general business clients, he:

  • Organizes corporations, limited liability companies, partnerships and other entities.
  • Negotiates buy-sell agreements between shareholders, partners, and other co-owners/investors.
  • Handles mergers, acquisitions, divestitures, and sales of assets.
  • Resolves disputes between partners, shareholders, and other co-owners/investors.
  • Assists clients with the formation of corporations, limited liability companies, and general and limited partner­ships.
  • Prepares leases, contracts, and other agreements.
  • Handles non-competition and confidentiality agreements.
  • Negotiates employment and severance agreements.
