Scope of Practice

• Organizes corporations, limited liability companies, general and other entities
• Handles mergers, acquisitions, sale of assets and related documentation
• Negotiates buy-sell agreements between shareholders and corporations
• Resolves disputes between partners, shareholders, and co-owners/investors

Professional Experience

Prior to joining Cable Huston Benedict Haagensen & Lloyd LLP, Mr. Rothenfluch was with a Portland based business law firm practicing in the areas of corporate finance, securities law, mergers and acquisitions, and business formation.  His areas of representation include private debt and equity financing, stock and asset purchases and sales, and other general corporate matters.

Mr. Rothenfluch also spent a number of years as In-House Counsel/Chief Compliance Officer for a San Diego market making broker dealer focusing on all aspects of broker dealer legal and regulatory risk including suitability, trading, making markets, supervision, penny stock transactions, restricted stock transactions, books and records, written supervisory procedures and regulatory filings.
